Legal Agreement
This Provider Terms of Service & Placement Fee Agreement ("Agreement") is entered into between Ready Rooms, a Texas nonprofit corporation ("Ready Rooms"), and the housing provider, organization, owner, operator, or authorized representative completing registration ("Provider").
By registering with Ready Rooms, submitting property or listing content, accepting referrals, or utilizing any Ready Rooms services, Provider agrees to be legally bound by this Agreement in its entirety.

Ready Rooms provides referral, screening, matching, placement coordination, marketing, lead generation, housing navigation, and related services connecting prospective residents with housing providers in its network.
Ready Rooms does not guarantee occupancy, resident performance, rent payment, program eligibility, length of stay, or the suitability of any referred individual. Provider is solely responsible for conducting its own intake screening, background checks, program assessments, and admission decisions.
Provider retains sole control over its own rent and fee amounts, house rules, staffing, and any professional or facility licensing required for its operations. Ready Rooms does not set Provider's pricing or policies and does not verify or guarantee Provider's licensing status.
By submitting property information, photographs, videos, floor plans, descriptions, or any other materials to Ready Rooms ("Provider Content"), Provider grants Ready Rooms a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, display, publish, distribute, adapt, edit, crop, and create derivative works from Provider Content for the purpose of marketing, promoting, and operating the Ready Rooms network.
This license includes, without limitation, the right to use Provider Content on:
Provider represents and warrants that it owns or holds all necessary rights, licenses, and permissions to grant this license, and that Provider Content does not infringe upon the intellectual property, privacy, or other rights of any third party. Provider is solely responsible for ensuring that any individuals depicted in submitted photographs or videos have consented to such use.
Ready Rooms may edit, crop, caption, or otherwise modify Provider Content for consistency, formatting, or marketing purposes, and is under no obligation to use any specific piece of Provider Content.
This license survives for as long as Provider participates in the Ready Rooms network and for a reasonable period thereafter to allow for orderly removal. Upon Provider's written request following termination of network membership, Ready Rooms will remove Provider Content from properties it directly controls within a reasonable time; Ready Rooms cannot guarantee removal from third-party platforms, archives, or previously distributed materials outside its direct control.
No additional compensation, royalty, or fee is owed to Provider for Ready Rooms' use of Provider Content under this license.
Ready Rooms offers two program plans, and Provider selects one at registration:
Under both plans, Provider agrees to pay Ready Rooms a separate, success-based placement fee for each accepted referral that results in a verified move-in. The placement fee is calculated as a percentage of the resident's first month's housing payment:
Note on housing type: The placement fee rates below apply to independent living placements (shared housing, private rooms, sober living, transitional housing, and similar independent-occupancy arrangements). Placement fees for assisted living, memory care, skilled nursing, residential care homes, and other care-level housing are negotiated separately and may vary based on the level of care, licensing requirements, and placement complexity. Contact Ready Rooms to confirm the applicable rate for your housing type prior to registration.

The placement fee is earned and becomes due only upon:
There is no placement fee owed for referrals that do not result in a verified move-in. Once move-in is verified, Ready Rooms will invoice Provider for the applicable placement fee, and Provider agrees to pay the invoiced amount promptly.
Provider acknowledges that the placement fee compensates Ready Rooms for services rendered in connection with the successful placement, including but not limited to: marketing, lead generation, pre-screening, needs assessment, matching, referral coordination, and release of referral information.
Provider agrees not to directly or indirectly circumvent Ready Rooms in connection with any referral, lead, or introduction originating from or facilitated by Ready Rooms.
Any individual, prospective resident, client, referral source, family member, case manager, discharge planner, social worker, hospital representative, agency representative, or funding source introduced through Ready Rooms shall be deemed a Ready Rooms referral for a period of twenty-four (24) months from the date of introduction.
Provider agrees not to avoid, bypass, conceal, misrepresent, redirect, or otherwise interfere with Ready Rooms' right to compensation as set forth in this Agreement.
Provider agrees to accurately and promptly report to Ready Rooms:
Provider shall not knowingly provide false, misleading, incomplete, or inaccurate information regarding any Ready Rooms referral. Misrepresentation of referral or placement status - including move-in status - may result in immediate termination of Provider's network membership and referral access.
Provider acknowledges that placement fees compensate Ready Rooms for services rendered in connection with a successful, verified placement. Provider agrees not to initiate a chargeback, payment dispute, ACH reversal, bank dispute, or similar action based upon any of the following:
Provider agrees that Ready Rooms may use any of the following as evidence in response to a payment dispute: electronic records; signed agreements; referral acceptance logs; timestamps; IP address records; SMS or email communications; payment records; and system activity logs.
Provider further agrees that initiating an improper chargeback constitutes a material breach of this Agreement and will result in immediate suspension, collection proceedings, and liability for all costs outlined in Section 7.
Provider acknowledges that circumvention of Ready Rooms or initiation of improper chargebacks causes substantial harm and damages that are difficult to calculate with precision.
If Provider intentionally circumvents Ready Rooms, knowingly accepts housing arrangements involving a Ready Rooms referral without payment of the applicable fee, or initiates an improper chargeback, Provider agrees to pay:
If Provider is an entity - including a corporation, limited liability company, nonprofit organization, partnership, trust, or other legal entity - the individual completing registration and agreeing to this Agreement personally and unconditionally guarantees all payment obligations arising under this Agreement. This guaranty survives dissolution, bankruptcy, or insolvency of the Provider entity.
Provider agrees that the following constitute valid, binding, and enforceable evidence of Provider's agreement under the Electronic Signatures in Global and National Commerce Act (E-SIGN) and Texas law:
Ready Rooms shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from or related to this Agreement or Provider's participation in the Ready Rooms network, regardless of whether such damages were foreseeable.
Ready Rooms' total aggregate liability to Provider under this Agreement shall not exceed the total placement fees paid by Provider to Ready Rooms during the twelve (12) months immediately preceding the event giving rise to the claim.
Provider agrees to defend, indemnify, and hold harmless Ready Rooms, its officers, directors, employees, contractors, volunteers, and affiliates from and against any and all claims, damages, liabilities, losses, fines, penalties, costs, or expenses (including reasonable attorney's fees) arising from or related to:
Any dispute, claim, or controversy arising out of or relating to this Agreement, or the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved exclusively through binding arbitration administered in Harris County, Texas, under the rules of the American Arbitration Association (AAA) then in effect.
Provider expressly waives any right to:
Nothing in this Section prevents either party from seeking emergency injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Venue for any action related to the enforcement of an arbitration award, or any matter not subject to arbitration under this Agreement, shall be exclusively in the state or federal courts located in Harris County, Texas.
Ready Rooms reserves the right to modify this Agreement at any time. Provider will be notified of material changes via email to the address on file at least thirty (30) days prior to the effective date of the change. Continued participation in the Ready Rooms network following the effective date constitutes acceptance of the modified Agreement. If Provider does not agree to a modification, Provider must cancel their network membership before the effective date.
This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior negotiations, representations, understandings, and agreements, whether written or oral. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Acknowledgment: By completing provider registration, checking the required agreement boxes, and submitting their property listing, Provider confirms they have read, understood, and agreed to be legally bound by this Agreement. This acknowledgment, together with submission timestamp and IP address, constitutes a binding electronic signature.
