Referral Partner Agreement

Effective Date: This Agreement becomes effective upon your electronic acceptance during the partner signup process and remains in effect until terminated as described herein. By checking the acceptance box and submitting the partner signup form, you agree to be legally bound by all terms below.

This Referral Partner Agreement ("Agreement") is entered into between Ready Rooms, a nonprofit corporation organized under the laws of the State of Texas ("Ready Rooms," "we," "us," or "our"), and you, the individual or entity completing the partner signup process ("Partner," "you," or "your"). Together referred to as the "Parties."

Please read this Agreement carefully. It governs your participation in the Ready Rooms Referral Partner Network and contains important limitations on liability, disclaimers, and your obligations as a partner.

1. Nature of the Relationship

Your participation in the Ready Rooms Referral Partner Network creates a limited, non-exclusive referral relationship only. This Agreement does not and shall not be construed to:

Create an employment relationship between you and Ready Rooms
Create an agency, joint venture, partnership, or franchise relationship
Grant you authority to bind, represent, or make commitments on behalf of Ready Rooms
Make you an agent, contractor, representative, or affiliate in any legal or regulatory sense that would impose duties or obligations on Ready Rooms beyond those stated herein
Create any exclusivity, territory rights, or guaranteed referral volume

You are an independent third party who voluntarily refers individuals to Ready Rooms for housing placement consideration. Ready Rooms retains complete discretion over all intake, placement, and operational decisions.

2. No Compensation - No Income Guarantee

Ready Rooms does not pay referral fees, commissions, bonuses, revenue shares, or any other form of compensation to Referral Partners. Participation in this network is entirely voluntary and unpaid. No payment of any kind will be made to you for any referral, regardless of outcome.

You expressly acknowledge and agree that:

You have not been promised, and will not receive, any monetary compensation, commission, fee, gift, or other thing of value from Ready Rooms in exchange for referrals
Ready Rooms makes no representation, guarantee, or projection of income, earnings, or financial benefit of any kind arising from your participation in this program
Your participation in this network shall not be contingent on any expectation of future compensation
You are not entitled to compensation even if a referred individual is successfully placed in housing
No oral statements, email representations, or materials from Ready Rooms create any obligation of compensation not expressly stated in this Agreement

This program is operated by a nonprofit corporation. Ready Rooms' mission is housing placement for individuals in transition, not the generation of partner revenue. If you were told otherwise by any person, you should not enter into this Agreement and should contact info@readyrooms.org immediately.

3. Partner Conduct and Representations

By participating in this program, you represent, warrant, and agree that:

All information you provide during signup and in referral submissions is true, accurate, complete, and not misleading
You have the authority to submit referral information on behalf of clients you refer, or the client has consented to the referral
You will not submit referrals for individuals without their knowledge or against their expressed wishes
You will not misrepresent Ready Rooms' services, capabilities, fees, timelines, or outcomes to clients or third parties
You will not promise clients that placement is guaranteed, that specific housing will be available, or that any particular outcome will result from your referral
You will not charge clients any fee in connection with referrals to Ready Rooms
You will not use your partner link or affiliation with Ready Rooms to solicit clients for any other service, product, or program
You will immediately notify Ready Rooms at info@readyrooms.org if you become aware of any situation in which a client is in immediate danger
You are not currently debarred, suspended, or excluded from any federal or state program related to housing, healthcare, or social services
Your participation in this program does not violate any professional licensing obligations, employment agreements, or legal duties you may have

4. Client Data, Privacy, and Confidentiality

Referral submissions may contain sensitive personal information about individuals including, but not limited to, health status, housing history, criminal background, financial information, and other personal details.

You agree to:

Only submit client information you are legally authorized to share with a third party
Comply with all applicable privacy laws, including but not limited to HIPAA (if applicable to your profession), Texas Health and Safety Code, and any applicable professional confidentiality obligations
Not submit information about minors under the age of 18
Not retain or further distribute any client data you receive through Ready Rooms' systems
Notify Ready Rooms promptly if you become aware of any unauthorized disclosure of client data submitted through your partner link

Ready Rooms handles submitted client information in accordance with its Privacy Policy, available at readyrooms.org. Ready Rooms does not sell client data to third parties.

5. Use of Ready Rooms Brand and Materials

Ready Rooms grants you a limited, non-exclusive, non-transferable, revocable license to:

Share your personal partner link for the purpose of referring clients to Ready Rooms
Identify yourself as a "Ready Rooms Referral Partner" in professional communications

You may NOT:

Use the Ready Rooms name, logo, or branding in any way that implies you are an employee, official spokesperson, or authorized representative of Ready Rooms
Create or distribute any materials (print, digital, or otherwise) using Ready Rooms' name or logo without prior written approval from Ready Rooms
Register domain names, social media accounts, or business names that include "Ready Rooms" or any confusingly similar variation
Make public statements, press releases, or media appearances purportedly on behalf of Ready Rooms without prior written authorization
Use your partner link for any purpose other than referring individuals for housing placement

Ready Rooms reserves the right to revoke this license at any time without notice.

6. No Guarantee of Services or Outcomes

Ready Rooms makes no representation or warranty that:

Any referred individual will be accepted, reviewed, or placed in housing
Housing options will be available for any particular individual at any particular time
The housing placement process will be completed within any specific timeframe
Any specific type of housing (recovery, transitional, veteran, etc.) will be available
Referred clients will receive any specific level of service

Ready Rooms reserves the right to decline, defer, or discontinue services to any individual at its sole discretion, including individuals referred through your partner link.

7. Termination

Either party may terminate this Agreement at any time, with or without cause, with or without notice.

Ready Rooms may immediately deactivate your partner link and remove your profile from the network if you:

Violate any provision of this Agreement
Engage in conduct that Ready Rooms reasonably believes may expose Ready Rooms or its clients to legal liability or reputational harm
Submit fraudulent, misleading, or unauthorized referrals
Misrepresent your affiliation with Ready Rooms
Fail to maintain the professional standards expected of a Referral Partner

Upon termination, your partner link will be deactivated. All provisions of this Agreement that by their nature should survive termination shall do so, including Sections 2, 4, 6, 8, 9, and 10.

8. Disclaimer of Warranties

THE READY ROOMS REFERRAL PARTNER NETWORK, INCLUDING YOUR PARTNER LINK, THE REFERRAL PORTAL, AND ALL ASSOCIATED SERVICES, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

READY ROOMS DOES NOT WARRANT THAT THE PARTNER PORTAL WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY PARTICULAR RESULT WILL BE ACHIEVED FROM USE OF THIS PROGRAM.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, READY ROOMS, ITS OFFICERS, DIRECTORS, EMPLOYEES, VOLUNTEERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN THE REFERRAL PARTNER NETWORK, INCLUDING BUT NOT LIMITED TO:

Loss of income or anticipated earnings
Loss of clients or referral opportunities
Harm to professional reputation
Any outcome (or lack of outcome) for clients you refer
Technical failures of the partner portal or referral link

IN NO EVENT SHALL READY ROOMS' TOTAL LIABILITY TO YOU EXCEED ONE HUNDRED DOLLARS ($100.00), REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

10. Indemnification

You agree to indemnify, defend, and hold harmless Ready Rooms and its officers, directors, employees, volunteers, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your breach of any representation, warranty, or obligation in this Agreement
Your misrepresentation of Ready Rooms' services to any client or third party
Your violation of any applicable law or professional obligation
Any unauthorized submission of client data
Any claim by a client or third party arising from your conduct in connection with this program

11. Compliance with Law

You agree to comply with all applicable federal, state, and local laws and regulations in connection with your participation in this program, including without limitation laws governing professional licensing, data privacy, client consent, and anti-kickback statutes. If you are a licensed professional (social worker, nurse, attorney, etc.), you are solely responsible for ensuring your participation in this program complies with your professional licensing requirements and ethical obligations.

This Agreement and your participation in the program shall not be construed to require or encourage any conduct that would violate the federal Anti-Kickback Statute, the Stark Law, or any analogous state law.

12. Electronic Signature and Acceptance

By checking the acceptance box during the partner signup process, you agree that:

Your electronic acceptance constitutes a legally binding signature under the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.) and the Texas Uniform Electronic Transactions Act (Tex. Bus. & Com. Code § 322.001 et seq.)
You have read, understand, and agree to all terms of this Agreement
You have the legal capacity and authority to enter into this Agreement
You are at least 18 years of age
Your name, email address, IP address, and timestamp of acceptance will be recorded and constitute evidence of your agreement

13. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any dispute arising out of or related to this Agreement shall be resolved exclusively in the state or federal courts located in Harris County, Texas, and you consent to personal jurisdiction in those courts.

You waive any right to a jury trial in connection with any dispute arising out of this Agreement.

14. General Provisions

Entire Agreement

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, representations, and agreements.

Amendment

Ready Rooms reserves the right to modify this Agreement at any time. Continued use of your partner link after notice of modification constitutes your acceptance of the amended terms. We will make reasonable efforts to notify active partners of material changes via email.

Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

No failure or delay by Ready Rooms to exercise any right under this Agreement shall constitute a waiver of that right.

No Third-Party Beneficiaries

This Agreement is for the sole benefit of the Parties and does not create any rights in any third party, including clients referred through the program.
